The Council decided to apply for Incorporation in 1991 to become an authorized Incorporated Association. When a club or community group incorporates it becomes a “legal person” that is , a legal entity that stays the same even if its members change. It can enter into contracts in its own name an incorporated association is required to conduct its affairs in accordance with the Act.
It was considered to be essential in dealings with Golf Associations, Sponsors ,outside bodies and Government to operate as a Incorporated Association operating under the ACT.
The VVGA was Incorporated on 3-5-1991 and originally used the Model Rules until they were replaced with the current Constitution/Rules which were prepared by leading Legal Firm Minter Ellison under directions from VVGA and approved by the Registrar on 4th January 1993.They have stood the test of time and provided the VVGA with a solid base for our operations.
Notification from the Dept of Justice (Corporate affairs) on October 15th 2012 advising of the change of legislation to replace the old 1981 Act with the Associations Incorporation Reform Act 2012 was received and an excerpt from the guidelines in relation to the use of our own Rules is quoted as follows.
Associations using own Rules
If an Association uses its own Rules (that is, not the Model Rules) these continue to be valid, but once members decide to make any changes , the rules must also address every item required in Schedule 1 which requires the name of the Association, Date of Financial Year and Statement of Purposes. If there is any inconsistency between the associationï¿½s existing rules and the New Act, the requirements of the New Act apply.
The VVGA therefore is authorized to continue to operate under the present set of Rules /Model Rules and the Association will continues to be Incorporated under the New Act however cases where our Rules differ the Model Rules must be followed.
